General Terms and Conditions of Sale and Service Provision

The iciweb agency specializes in advice for developing communication strategies, setting up digital devices, selecting partners, managing projects, as well as their monitoring and optimization.

Article 1 – Definitions
iciweb: Refers to the entity iciweb, a micro-enterprise registered under SIRET number 83789471600013, whose registered office is located at 9 rue des douves, 33800 Bordeaux.
Client: Designates any individual or entity having established an agreement with iciweb.
Article 2 – Contractual procedure
The contract takes effect upon signature of the quote, in paper or electronic format. The acceptance of our quote by the Client implies acceptance of these General Terms and Conditions of Sale and Service Provision, which will govern the contractual relationship iciweb – Client. Any clause contrary to the specific purchase or contractual conditions of the Client to these General Terms and Conditions of Sale and Service Provision cannot be applied, even if it were stipulated that the contract with the Client would imply their acceptance.
Before accepting the quote, the Client is invited to read these General Conditions carefully, as well as to consult the website www.iciweb.fr where the main characteristics of the services proposed by the agency are described.
Article 3 – Quote preparation
The quote is prepared by iciweb based on the Client's indications. The latter is invited to establish a written brief of their expectations, as precise and exhaustive as possible. The proposed methodology and the deliverables produced cannot be discussed or contested by the Client. The Client must verify that the quote correctly reflects their expectations. Those that might not have been included in the project resulting from the quote will be deemed to have been abandoned by the acceptance of the quote.
Article 4 – Quote – Service proposal
The quote presented by iciweb is a service proposal that only becomes final upon acceptance by the Client, within the limit of its validity period. It is the date of the quote that determines the version of the T&Cs applicable. iciweb is bound by an obligation of advice and alert towards the Client and the stakeholders designated for the proper execution of the Project.
iciweb must in particular, reasonably:
- Advise and warn the Client on their technical choices and decisions.
- Keep the Client informed of incidents that may affect the Services.
Note: The Client remains solely responsible for the final choices and decisions made by them.
Article 5 – Conditions of use of iciweb services
A. Contractual process – Payment of stages
Once the Client has paid for the entire service, iciweb undertakes to transfer to the latter all intellectual property rights on the work carried out for their benefit.
B. Validation of deliverables
iciweb will present intermediate deliverables (personas, mockups, etc.). The Client's approval formalizes the validation. Any subsequent modification will be subject to an additional quote.
C. Execution deadlines
iciweb does not guarantee any execution deadline unless otherwise agreed in writing, but undertakes to use all its skills to carry out the services successfully.
D. Execution guarantees and responsibilities – Websites
- iciweb guarantees the functionality of the site on the latest versions of Safari, Chrome, Firefox and Edge at the time of the quote.
- Any malfunction identified within the month following the launch will be corrected free of charge.
- iciweb does not take charge of the backup of websites (unless specific hosting contract).
- Access to the source code is reserved for iciweb. Any unauthorized access releases the agency from its responsibility.
Article 6 – Obligations and responsibilities of the Client
The Client is required to collaborate closely and to provide the necessary information according to the established schedule. In case of delay by the Client, iciweb may require an equivalent extension of the delivery deadlines.
Article 7 – Compliance with the law by the Client
As the publisher of their website, the Client assumes sole editorial responsibility and guarantees the legality of their business and contents. The Client indemnifies iciweb against any action by third parties related to the content of the site.
Article 8 – Financial terms and payment
The rates are those mentioned in the quote. The Client undertakes to pay invoices within 30 days.
- Any dispute must be made within 8 days by registered mail.
- Late payment penalties: 15% (according to Article L 441-10 of the Commercial Code).
- Fixed collection indemnity: 40 €.
- iciweb reserves the right to deactivate a site in production in case of persistent non-payment.
Article 9 – Data processing (GDPR)
Data exchanged is confidential. Personal data is treated in accordance with the GDPR. Deletion can be requested at the address: contact@iciweb.fr. The Client authorizes iciweb to cite their name and logo as a reference on its communication supports.
Article 10 – Monthly maintenance package
iciweb offers a package including: detection of flaws, patches, code backups (GIT), availability monitoring and assistance via a dedicated project manager.
Duration: Monthly commitment with automatic renewal.
Termination: 30 days notice end of month by registered email to: contact@iciweb.fr
Article 11 – Hosting
iciweb offers solutions via selected third-party partners. iciweb is not responsible for interruptions or data losses attributable to the third-party host.
Article 12 – Miscellaneous provisions
A. Non-solicitation
Reciprocal commitment not to hire a collaborator of the other party during the service and the following 3 years, under penalty of a penalty equal to two years of remuneration of the collaborator.
B. Termination
In case of termination at the Client's initiative (excluding fault of iciweb), a minimum of 40% of the quote is due. In case of failure to cooperate, 100% of the quote is due.
C. Applicable law
Any contract is governed by French law.
D. Disputes
In case of dispute, a conciliation attempt will be made. Failing this, the dispute will be submitted to the Commercial Court of Bordeaux.
